TENDER OFFER FOR
THE HOTEL 'MERIDIONAL' IN LOVRAN



1. THE SUBJECT MATTER OF THE SALE:
Real estate–hotel Meridional (with surrounding land and its own parking lot) in Lovran, registered in the land books of the Municipal Court at Opatija :
- building plot number 410 of the area of 801 m2, Land Book file 765
-cadastral plot number 126/3 of the area of 994 m2, Land Book file 765
-cadastral plot number 126/2 of the area of 332 m2, Land Book file 1698
-cadastral plot number 137/2 of the area of 55 m2, Land Book file 777
-cadastral plot number 138/2 of the area of 164 m2, Land Book file 777
(all at the cadastral municipality of Oprić)

2. LOCATION:
Lovran, in the very city of the town, at a very attractive location in immediate vicinity of the main city park and the city beach.

3. BUILDING LAND PLOT AREA (all plots in total): 2346 m2

4. FLOOR AREA: (gross) 3.988,75 m2

5. PROPERTY hotel is not in use and there are no employees

6. MINIMUM BID REQUIRED: =3.800.000,00 EUR
(by letters:threemillioneighthundredthousand/00EUR)
To be paid in Kuna according to the middle exchange rate of the Croatian National Bank on the day of payment
-Sales tax on sale of real property is to be born by the Purchaser

7. THE OFFER TO PURCHASE THE PROPERTY has to include:
- general data of the bidder (excerpt from registration of the competent Commercial Court for companies)
- offering price
- proof of the deposit paid in the amount of 10% (tenpercent) of the purchase price as indicated in article 6. of the present invitation, value in Kuna according to the middle exchange rate of the Croatian National Bank on the day of payment.

The deposit will be taken into account of the purchase price to the best bidder. The Bidder is obliged to pay the deposit in Kuna to the account of the Vendor with Societe Generale Splitska banka d.d. Split account number:
2330003-1100028048.

The foreign physical and legal persons have to pay the deposit in Euros to the foreign exchange account of the Vendor with Societe Generale Splitska banka d.d. Split account number SWIFT: SOGEHR22, IBAN: HR1423300031100028048.

The deposit is not to be refunded in case the best Bidder gives up the purchase or fails to sign the contract in given term i.e. fails to pay the purchase price in given term.
In case of refund of the deposit paid in Euros the Vendor will not bear the bank expenses or the exchange rate difference.

8. EXPIRATION TERM for submitting offers: 40 (forty) days from the date of placing the bid.

9. Offers are to be submitted by first class mail in enclosed envelopes with note ''DO NOT OPEN – offer to purchase real estate '' to the address: Ugo grupa d.o.o. Zagreb, Savska cesta 165.

10. The ffer is based on the principle ''bought on sight'', in accordance with the situation registered in the land books and the state of the property on the day of opening the offers. All the Bidder's subsequent complaints of any kind will be excluded.

11. The opening of all the received offers will be in presence of the Vendor and the notary public.

12. If two or more Bidders offer the same purchase price the Bidder who paid the bond deposit first is in vantage.

13. The Bidder whose offer is to be accepted is obligatory to sign the contract with the Vendor within the period of 15 days after the receipt of the notification his offer has been accepted. The whole amount of the purchase price has to be paid within 8 days from signing the Contract.

14. Notifications of acceptance will be sent to the Bidders within 5 (five) days from the expiration term for submitting offers. Within the same period the Vendor will refund the paid bond deposits to the Bidders whose offers haven't been accepted.

15. The Vendor Ugo grupa , d.o.o. Zagreb, Savska cesta 165, retains the right not to chose any of the arrived offers without explanation or any responsibility to any of the Bidders.

16. All the expenses of submitting the offers will be born by the Bidders – Purchasers.
